Purple Style Labs’ Board of Directors, through their meeting on September 21, 2026, has approved the amount of $7 million as an investment in its wholly-owned subsidiary Purple Style Labs USA, Inc. This will be done through the acquisition of 7 million Class B Common Stock of PSL USA at a par value of $1 each. As a result, Purple Style Labs will still maintain 100% ownership of the common stock of its US subsidiary.

The investment is proposed to be mainly sourced from the net proceeds of the company’s recent initial public offering (IPO), where up to approximately Rs. 53 crore can be set aside for this investment. The money shall be utilized by PSL USA for corporate purposes as stated in the company’s IPO offer document.

Investment Details 

Purple Style Labs Ltd has approved an investment of approximately Rs. 62.5 crore in its wholly owned subsidiary, Purple Style Labs USA, Inc. The investment will involve the acquisition of 70 lakh Class B Common Stock shares at a par value of approximately Rs. 89 per share.

The investment will be funded through the company’s IPO proceeds, and Purple Style Labs will continue to hold 100% ownership in the US subsidiary following the investment. The transaction is classified as a related-party transaction and is subject to approval from the authorised dealer bank under FEMA.

The investment is expected to be completed within 30 days of receiving the required regulatory approval.

Focus on US Luxury Retail

PSL USA was formed in Delaware on April 16, 2025, and functions in the luxury retail industry in the USA. The subsidiary runs a physical experience studio in New York City under the Pernia’s Pop-Up Studio brand, where it deals with various product segments, such as women’s wear, men’s wear, jewelry, accessories, and kidswear.

PSL USA has turnover of around Rs. 1.158 crore for the period of April 16, 2025, to March 31, 2026. Since the company was set up in FY26, it does not have any historical data of turnover for other previous periods.

Related-Party Transaction

As the entity PSL USA is a wholly-owned subsidiary of Purple Style Labs, the proposed transaction would be treated as a related party transaction under Section 2(76) of the Companies Act, 2013.

The Company has revealed that the transaction is to be done at arm’s length and is consistent with the objects mentioned in the prospectus of the IPO. Abhishek Agarwal is serving as Whole-time Director & CEO of Purple Style Labs and President, Secretary and Treasurer of PSL USA.

The latest Rs. 62.5 crore investment in PSL USA therefore represents another deployment of capital following the company’s recent listing.
