Acquisition Details

Apollo Pipes has acquired a 76% stake and profit-sharing rights in Mazzini Tiles LLP through Apollo Ceramics Limited, giving it controlling interest in the business. The acquisition was completed through cash consideration of Rs. 40.42 crore. The transaction does not fall under related-party transactions, while the company said its promoters, promoter group and group companies have no interest in the acquired entity. No regulatory approval was applicable for the transaction.

Mazzini Tiles is a company that operates in the field of building materials such as tiles and ceramics. Mazzini Tiles’ production plant is situated in Morbi, Gujarat, and was established on April 5, 2017.

Operating Base and Capacity

The acquisition provides Apollo Pipes with an existing manufacturing platform instead of building a new tiles business from the ground up. According to the company’s press release, Mazzini has an installed annual manufacturing capacity of 72 lakh square metres, along with an established domestic distribution network and a growing export presence.

Mazzini has made a name for itself in the Polished Glazed Vitrified Tiles (PGVT) sector. Apollo Pipes believes that the acquisition will give it access to a company with an existing product portfolio and presence in this market. Mazzini’s revenue for FY2025-26 is recorded at Rs. 87.15 crores as against Rs. 76.67 crores in FY2024-25 and Rs. 78.23 crores in FY2023-24 which marks an increase of about 13.7% from the previous year.

Investment Plan and Market Opportunity

The acquisition forms part of a board-approved investment envelope of up to Rs. 300 crore for the tiles and ceramics business. The broader platform may be used for manufacturing, including contract manufacturing, as well as trading, marketing and distribution of tiles, ceramics and allied products.

According to the company’s estimates, the Indian ceramic tiles industry is worth between Rs. 62000 crore and Rs. 65000 crore. The press statement shows that there is demand for tiles attributed to construction – both residential and commercial – renovation, urbanization, and shifting preferences for premium and branded tiles.

Apollo Pipes plans to use Mazzini’s manufacturing base and distribution network while leveraging its understanding of building-material channels and customer requirements. The company also intends to pursue product expansion, dealer-network development, exports, contract manufacturing and selective acquisitions.

The transaction marks Apollo Pipes’ expansion into ceramic tiles. The company said the common end markets across residential construction, commercial projects and infrastructure-led development could create opportunities to deepen engagement with building-material dealers and project influencers.

Management said the broader approach will remain phased and disciplined, with the approved investment envelope providing flexibility to support Mazzini’s growth and evaluate additional opportunities.
